7步落地法,让激励从纸面走向现实

很多企业花了大价钱请咨询公司出了一套漂亮的股权激励方案——厚厚一叠、图表精美、逻辑严密。然后呢?锁在抽屉里,再也没有然后了。

Many companies have spent a lot of money consulting companies to come up with a beautiful equity incentive plan - thick stack, exquisite charts, and rigorous logic. And then? Locked in the drawer, there's nothing left.

方案写得再好,落不了地就是废纸。股权激励的落地,是一套从方案到执行的系统工程。

No matter how well the plan is written, it's just useless paper. The implementation of equity incentives is a systematic project from plan to execution.

第1步:内部宣导与沟通。

Step 1: Internal promotion and communication.

股权激励涉及每一个激励对象的切身利益。在方案正式实施之前,建议进行充分的内部沟通——让每个激励对象清楚知道:自己能得到什么、需要付出什么、什么时候能兑现、退出时怎么处理。 很多股权激励之所以“激励”不了人,恰恰是因为员工根本搞不清楚自己手上的“纸”到底值多少钱、什么时候能变成真金白银。不确定性会消解一切激励效果。

Equity incentives involve the vital interests of each incentive recipient. Before the formal implementation of the plan, sufficient internal communication must be carried out to ensure that each incentive recipient has a clear understanding of what they can gain, what they need to contribute, when they can be fulfilled, and how to handle their withdrawal. Many equity incentives fail to motivate people precisely because employees have no idea how much money their "paper" is worth and when it will turn into real money. Uncertainty will dissolve all incentive effects.

第2步:完成内部决策程序。

Step 2: Complete the internal decision-making process.

实施股权激励需按照相关法律法规、公司章程以及内部决策程序进行审批。一般包括制定激励方案、提交董事会审议、提交股东会审议、履行审批手续等步骤。对于涉及关联交易的激励计划,还需按照关联交易的规定进行审议和报告。股权激励计划经股东会审议通过后,需在规定时限内授出权益并完成登记。

The implementation of equity incentives requires approval in accordance with relevant laws and regulations, company articles of association, and internal decision-making procedures. Generally, it includes steps such as developing incentive plans, submitting them for review by the board of directors, submitting them for review by the shareholders' meeting, and completing approval procedures. For incentive plans involving related party transactions, they also need to be reviewed and reported in accordance with the regulations on related party transactions. After the equity incentive plan is approved by the shareholders' meeting, equity must be granted and registered within the prescribed time limit.

第3步:签署法律文件。

Step 3: Sign legal documents.

方案审议通过后,需要与每一位激励对象签署股权授予协议。协议中应明确约定:授予数量、授予价格、行权条件、锁定期、考核标准、退出机制、违约责任等核心条款。口头承诺没有法律效力——到了兑现的时候,没有书面文件就是空口无凭。

After the scheme is reviewed and approved, it is necessary to sign an equity grant agreement with each incentive recipient. The agreement should clearly stipulate core terms such as grant quantity, grant price, exercise conditions, lock up period, assessment criteria, exit mechanism, and breach of contract liability. Oral promises have no legal effect - when it comes to fulfilling them, without a written document, they are just empty words.

第4步:完成出资与工商登记。

Step 4: Complete the capital contribution and business registration.

激励对象需要按照约定完成出资。这里要非常注意新《公司法》的五年实缴规定——有限责任公司的激励对象需在五年内缴足认缴出资额。如果采用有限合伙企业作为持股平台,平台本身也需履行实缴出资义务。出资完成后,及时办理工商变更登记,将持股平台或激励对象的股东身份在法律层面予以确认。

The incentive object needs to complete the capital contribution according to the agreement. Special attention should be paid to the five-year paid in provisions of the new Company Law, which require incentive recipients of limited liability companies to fully contribute their subscribed capital within five years. If a limited partnership enterprise is used as the shareholding platform, the platform itself also needs to fulfill the obligation of paid in capital. After the completion of the capital contribution, promptly handle the business registration change and confirm the shareholder identity of the shareholding platform or incentive object at the legal level.

第5步:建立考核与动态管理机制。

Step 5: Establish an assessment and dynamic management mechanism.

股权激励不是“一给了之”。需要建立健全的内部监督检查机制,确保计划的合法合规性。考核评价建议坚持公正、公开、公平的原则,严格按照考核办法和激励对象的业绩进行评价。考核要跟得上、数据要说得清、结果要服得了人——这是股权激励持续有效的保障。

Equity incentives are not simply given away. It is necessary to establish a sound internal supervision and inspection mechanism to ensure the legality and compliance of the plan. Assessment and evaluation must adhere to the principles of fairness, openness, and impartiality, and be strictly evaluated according to the assessment methods and the performance of incentive targets. The assessment should keep up, the data should be clear, and the results should be convincing - these are the guarantees for the sustained effectiveness of equity incentives.

第6步:定期信息披露与沟通。

Step 6: Regular information disclosure and communication.

对于上市公司而言,需要按照监管要求进行信息披露。对于非上市公司,虽然不需要公开披露,但也应建立内部的信息沟通机制——定期向激励对象通报公司经营状况、股权价值变化、考核进展等信息。透明度越高,激励效果越好。

For listed companies, it is necessary to disclose information in accordance with regulatory requirements. For non listed companies, although there is no need for public disclosure, an internal information communication mechanism should be established - regularly reporting the company's operating status, changes in equity value, assessment progress, and other information to incentive recipients. The higher the transparency, the better the incentive effect.

第7步:建立退出执行机制。

Step 7: Establish an exit execution mechanism.

员工离职、退休、死亡、丧失行为能力等情形发生时,其股权的行使应作相应调整。对于离职后是否属于享有股权激励的人员范围——有约定依约定,无约定不予收回。回购价格的确定方式、回购的资金来源、回购的时点——这些都需要在方案中提前设计好,并且在退出发生时严格执行。

When an employee resigns, retires, dies, or loses their ability to act, the exercise of their equity should be adjusted accordingly. Regarding whether employees who have resigned are eligible for equity incentives - if there is an agreement, it shall be followed, and if there is no agreement, it shall not be revoked. The determination method of repurchase price, the source of repurchase funds, and the timing of repurchase all need to be designed in advance in the plan and strictly implemented when the exit occurs.

这7步,缺一步都可能让激励方案“烂尾”。 股权激励不是“方案写了就完了”,而是一套从设计到决策、从签约到出资、从考核到退出的全周期管理工程。

Missing any of these 7 steps could lead to the incentive plan being left unfinished. Equity incentives are not just about writing a plan, but a full cycle management project from design to decision-making, from signing to investment, from assessment to exit.
