  第一个步骤,确定技术入股的占股比例。以技术入股,我们简称为技术股,一般占股比例为1%到20%。具体是多少?取决公司对技术的依赖程度。如果公司对技术的依赖程度比较高,比如属于高新技术行业,技术股的占比就要大一些。

  The first step is to determine the proportion of technology investment. By investing in technology, we refer to it as technology stocks, which generally account for 1% to 20% of the shares. How much is it specifically? It depends on the company's level of dependence on technology. If the company relies heavily on technology, such as in the high-tech industry, the proportion of technology stocks will be higher.

  第二个步骤,确定股份的性质。我们有三种股权授予的方式,第一种是虚拟分红股,只给分红权,没有表决权。第二种是实股,即在工商登记的注册股,成为公司真正的股东,享有完整的股东权利。第三种是限制股份,对给予股份进行限制,包括持股时间的限制,技术转化成果的限制等。

  The second step is to determine the nature of the shares. We have three ways of granting equity. The first is virtual dividend shares, which only grant dividend rights without voting rights. The second type is actual shares, which means registered shares in the industrial and commercial registration, becoming the true shareholders of the company and enjoying complete shareholder rights. The third type is to restrict shares, which includes restrictions on the granting of shares, such as time limits for holding shares and limitations on technological transformation achievements.

  第三个步骤,明确股权兑现的方式。技术股我们怎么给呢?是一次性给,还是分期分批次给,或者两者结合起来给。一次性给,比如说直接给10%,年底就可以按照10%的比例获得分红。分期成熟,比如说给20%的技术股,这20%要按照四年来成熟,每年成熟5%,相当于四年之后才拿到20%。两者结合,就是一次性给股权,但是附有考核条件。比如给20%的股份,但是要完全获得这20%是要通过考核才行。完成了考核,就可以拿到20%;没有完成考核,就只有部分的技术分红。

  The third step is to clarify the method of equity redemption. How do we give technology stocks? Should it be given at once, in installments and batches, or a combination of both. Give it all at once, for example, give 10% directly, and you can receive a dividend of 10% at the end of the year. Maturity in stages, for example, giving 20% of technology stocks, this 20% needs to mature over four years, with an annual maturity rate of 5%, which is equivalent to obtaining 20% after four years. The combination of the two is to give equity in one lump sum, but with assessment conditions attached. For example, giving 20% of the shares, but fully obtaining this 20% requires passing an assessment. Upon completion of the assessment, you will receive a 20% bonus; Without completing the assessment, only a portion of the technical dividends will be distributed.

  第四个步骤,明确股权退出的形式。技术股有两种退出形式,第一种是技术不达标,就是技术没有转化成为公司的业绩,没有达到预计的技术成果,这种情况下要退出。第二种方式是技术人员离职,技术股属于岗位股,人在岗就有股份,人不在岗就没有股份。离职之后,股份就要收回。

  The fourth step is to clarify the form of equity exit. There are two forms of exit for technology stocks. The first is when the technology does not meet the standards, which means that the technology has not been transformed into the company's performance, and the expected technological achievements have not been achieved. In this case, exit is necessary. The second way is for technical personnel to resign, and technical stocks belong to job stocks. People who are on duty have shares, while those who are not on duty have no shares. After resignation, the shares will be reclaimed.
