  一、股票期权

  1、 Stock options

  股票期权是企业赋予激励对象在未来一定期限内,以预先确定的价格和条件购买本公司一定数量股票的权利。激励对象只有在达到约定条件(如业绩目标、服务期限等)时,才有权行使这种权利,在股价上涨时通过行权获得收益。

  二、限制性股票

  股票增值权是指公司授予激励对象在未来一定时期和约定条件下,获得规定数量的股票价格上升所带来收益的权利。激励对象不实际拥有股票,也不享有股东表决权、分红权等,仅享有股票增值部分的收益。当公司股价上涨时,激励对象可按约定获得相应的现金或等值股票。

  股票增值权的优点在于操作灵活,无需实际增发股票,不会影响公司的股权结构;对现金流充裕的企业而言,能以现金形式支付激励收益,减轻股权稀释压力。但由于激励对象不持有实际股票,缺乏所有权激励,激励效果可能相对较弱;同时,现金支付会给企业带来一定的财务压力。

  四、虚拟股票

  虚拟股票是企业授予激励对象一种 “虚拟” 的股票,激励对象可以据此享受一定数量的分红权和股价升值收益,但没有所有权,没有表决权,不能转让和出售,在离开企业时自动失效。
