1、完成长远的事业战略与上市规划

初创公司股权的价值依托于公司价值的实现,因此在创业之初团队就需要对公司未来的事业战略进行充分的思考和规划,给初创团队和后来人信心,并且为未来的经营工作、资本动作确定清晰的方向。

2、进行系统的股权规划

在既有事业战略的基础上,对公司股权安排进行系统规划,如根据战略,公司将在发展到什么阶段时进行第一次、第二次、第三次股权融资、预期稀释多少股权比例进行多少额度的融资、这笔融资用于何处、引入的投资者需要具有什么资源?公司在每个发展阶段中需要对哪一类员工进行股权激励、预计激励多少人、拿出多少额度的股权来进行激励、还需要预留多少股权作为股权池?在所有发展阶段创业团队需要保持公司多少股权比例作为合适的控制?
On the basis of the existing business strategy, systematically plan the equity arrangement of the company, such as at what stage of development will the company carry out the first, second, and third equity financing according to the strategy, how much equity ratio is expected to be diluted for financing, where will this financing be used, and what resources will the introduced investors need? What type of employees does the company need to provide equity incentives for at each stage of development, how many people are expected to be incentivized, how much equity should be allocated for incentives, and how much equity should be reserved as an equity pool? How much equity ratio does a startup team need to maintain in the company as an appropriate control at all stages of development?
3、完善企业文化,达成内部共识

我们多次强调,对于创业公司而言,股权对于所有人(创业团队、股权激励对象、投资人等)都意味着风险、担当、责任和奉献多过利益,不能够将股权当做“暴富工具”抑或是控制员工的“金手铐”,而是应该关注每个人在创业过程中的能力成长和责任贡献,回归企业和事业本身,共同打造事业平台,提升企业价值。

4、进行系统、规范的规则设计

以行业和企业自身特点为基础,兼顾事业战略和股权规划,充分考虑各种可能出现的情况,打造一套逐步释放、见利见效、责权对等、能进能退的股权分配规则,避免未来可能出现的股权纠纷。
