  2.用什么方式分配股权?按资金分配合理吗?两个人合伙开公司,一人投资70万但不参与公司的任何事务,当个甩手掌柜,一人投资30万同时做管理,股份能不能按照七三分?不能!股份首先要分为资金股和人力股,按照资金股占总股的60%,人力股占总股的40%,那资金股市70万除以100万乘以60%等于42%,前一个人股权占比42%;后者30万除以100万乘以60%等于18%,不干活的人人力股为零,剩下唯一一个干活的人人力股为100%乘以40%等于40%,最终一个人占股是42%加零等于42%,另一个人占股是18%加40%等于58%,这个就是合理的股权分配方式。股权分配最本质的问题是怎么保证创始人对公司的控制权,怎么帮助企业获得更多的资源,这就需要一个合理的股权分配设计。

The most fundamental issue of equity distribution is how to ensure the founder's control over the company and how to help the enterprise obtain more resources, which requires a reasonable equity distribution design.

  3.分给谁?哪些人适合获得公司的股权?创始人是一家公司发展的导航标,决定着公司的前进方向,所以股权分配应该保证创始人对公司的控制权;公司的合伙人凝聚了公司的整个团队,可以在一定程度上保障合伙人的话语权和经营权。要保障投资人的优先权以期望获得更大的投资;还可以适当的预留一些股份分给公司中的核心员工,增加员工的主观能动性,激发公司的活力。合理的股权分配架构应该是由公司创始人、合伙人、投资人和核心员工四类人掌握。
