公司股权设计，三层股权架构，成立至少3家公司，分工合作，分别是:

一、家族公司

1、 Family company

1、不能夫妻持股，会被认定财产共同制

1. Spouses are not allowed to hold shares, which will be recognized as joint ownership of property

2、股东为自然人持股，三代血亲

3、持股比例建议99%:1%，谁掌权谁做大股东

二、防火墙公司

1、最少两个股东:可以是公司持股也可以是身份证持股

2、大股东是家族公司，持股67%以上，建议持股90%:10%

三、主体项目公司

3、 Main project company

1、最少两个股东，防火墙公司执照占股67%以上，建议85%:15%

三层股权架构注意事项

Notes on the three-tier equity structure

1、三家公司法人、监事、财务、股东最好不要混同，不然容易造成交叉持股情况，造成税务稽查，人员年龄不要超过60岁

1. It is best not to mix the legal persons, supervisors, finance, and shareholders of the three companies, otherwise it may lead to cross shareholding and tax inspections. The age of personnel should not exceed 60 years old

2、家族公司需要两张身份证，防火墙需要两张身份证，主体公司需要两张身份证，谁要隔绝风险，那么那个人就只出现在家族公司里面

3、三家公司法人不能是同一个法人，持股不建议100%

4、防火墙公司要实缴，注册资金金要小，这样的话分红扣除的盈余公积金才少，更多的钱分到家族公司
