很多创业者注册公司时随手填个股权比例——50%对50%、34%对33%对33%，觉得“大家都是兄弟，有事商量着来”。等到公司做大、融资、上市，才发现当初随手写的数字，成了无法挣脱的枷锁。股权比例不只是分红比例，更是控制权的“宪法” 。以下四条控制线，是每个老板建议刻在脑子里的。

67%——绝对控制线。 持有公司67%以上股权，意味着股东可以独立决定修改公司章程、增资减资、合并分立等“生死大事”。公司法规定，修改章程、增资减资、合并分立等重大事项须经三分之二以上表决权通过。67%刚好超过三分之二，是“我说了算”的硬门槛。

67% - Absolute control line. Holding more than 67% of the company's equity means that shareholders can independently decide on "life and death events" such as amending the company's articles of association, increasing or reducing capital, mergers and divisions. According to the Company Law, major matters such as amending the articles of association, increasing or reducing capital, mergers and divisions, etc. must be approved by more than two-thirds of the voting rights. 67% is just over two-thirds, which is the hard threshold of "I the final say".

51%——相对控制线。 除修改章程等重大事项外，公司日常经营决策、选举董事、聘任高管等事项，过半数表决权即可通过。持股51%意味着在绝大多数日常事务上拥有决定权。

51% - Relative control line. Except for major matters such as amending the articles of association, daily business decisions, election of directors, and appointment of senior executives of the company can be passed by a majority of voting rights. 34%——一票否决线。 持股34%以上，意味着反对派可以否决明显需要三分之二以上表决权通过的议案。通俗说——你过不了我这一关。

34% - veto line. Holding more than 34% of the shares means that the opposition can veto any proposal that requires more than two-thirds of the voting rights to pass. Simply put, you can't pass my level.

10%——临时股东会召集权。 持股10%以上的股东，有权提议召开临时股东会。在公司僵局中，这是中小股东为数不多的“武器”。

10% - Right to convene extraordinary shareholders' meetings. Shareholders holding more than 10% of the shares have the right to propose the convening of an extraordinary shareholders' meeting. In a company deadlock, this is one of the few "weapons" for small and medium-sized shareholders.

股权分配的黄金法则：大而不独、先挣后给、以增为减。大而不独——核心大股东要有控制权但不能吃独食；先挣后给——股权用“挣”的方式获得而非“分”的方式给予；以增为减——通过增发稀释来调整不合理的股权结构。健康的股权架构不是“平分”，而是“有主有次、权责清晰” 。一个简单的检验标准：公司遇到重大分歧时，有没有人能拍板？如果答案是“没有”，说明股权架构已经出了问题。
