股权、股份与合伙人的区别有哪些?

三者的定义:

股权:是指你在公司的所有权份额,涵盖了分红权表决权增值权资产所有权等各种权利
Equity: refers to your ownership share in the company, covering various rights such as dividend rights, voting rights, appreciation rights, asset ownership, etc
股份:指的是你的股权能带来的收益。很多人经常将“股份”和“股权”就混为一谈
Shares: Refers to the benefits that your equity can bring. Many people often confuse "shares" with "equity"
合伙人其实就是名义上的股东(既股份),有时候实名股东也被称为合伙人,只是个称呼上的变化
Partners are actually nominal shareholders (i.e. shares), and sometimes real name shareholders are also referred to as partners, just a change in their names
股权与股份大的不同之处:
The difference between equity and shareholding:
股权:通常是指在工商局登记的实名股东,公司要是有什么业务变动,需要这些实名股东亲笔签名才行
Equity: usually refers to the real name shareholders registered with the Industry and Commerce Bureau. If there are any business changes in the company, these real name shareholders need to sign their names in person
股份:不需要特别登记注册,大多数是跟大股东签个合同,里面会明确你的权利职责还有义务。这种股东大多数是没有投票权的,也不参与公司的实际决策工作

在股份里面还有一种叫“虚拟股份”,比如像华为员工手里的,基本都是在职期间的“虚拟股份”。公司在内部虚拟定个“总股本(总股数)”,再通过各种方式比如认购赠送奖励之类的,将股份分给员工。员工拿到的是股数,而不是比例

举例:公司总股本为一个亿,就相当于有一亿股,员工张三投了50万元,就能认购到50万股

通常这种虚拟股份,都是“在职股”,如果员工离职,就会被收回。即使员工不愿意也不行,因为这只是用于公司内部的员工激励机制,并不受法律的保护

所以华为不上市的原因,不仅是因为他们不缺钱,还有一个很重要的原因是华为内部有很多的激励模式,在证监会那边是不被认可的。很多上市的企业,在股权激励方面做得很保守,没有什么创新,主要原因还是因为证监会对上市企业的要求太严格了

Many listed companies are very conservative and lack innovation in equity incentives, mainly because the China Securities Regulatory Commission has too strict requirements for listed companies
那么合伙人跟股权股份又有啥不同呢?
So what's the difference between partners and equity shares?
有的时候为了公司治理结构需要,会注册一个有限合伙企业来作为持股平台,这里面会有两种角色:
Sometimes, in order to meet the needs of corporate governance structure, a limited partnership enterprise is registered as a shareholding platform, which has two roles:
① 普通合伙人(GP,比如:创始人或控股人)
① General Partner (GP, such as Founder or Controlling Person)
② 有限合伙人(LP,就是投资人)LP这里的投资人,是没有决策和表决权的,但能分到投资的收益(只享受收益权)
② Limited Partner (LP) refers to the investor who does not have decision-making or voting rights, but can receive investment returns (only enjoying the right to receive returns)
还有一种是侧重团队经营者的增值合伙人(OP),OP不仅要出资出力,还要参与到公司实际价值的增长,后享受增值的收益
There is also a value-added partner (OP) that focuses on team managers. The OP not only needs to invest and contribute, but also participates in the growth of the company's actual value, and later enjoys the benefits of value-added
总结:

合伙人基本上跟股权没什么关系,跟股份有点像,但在动作导向上又完全是另外一回事
Partners have little to do with equity and are somewhat similar to shares, but their action orientation is completely different
合伙人更注重团队合作和共同经营,而股权和股份则更关注投资回报风险责任这些方面
Partners place greater emphasis on teamwork and joint management, while equity and equity focus more on investment returns, risk, and responsibility
