股权激励,也称为期权激励,是企业为了激励和留住核心人才而推行的一种长期激励机制,是目前最常用的激励员工的方法之一。
Equity incentive, also known as option incentive, is a long-term incentive mechanism implemented by enterprises to motivate and retain core talents, and is currently one of the most commonly used methods to motivate employees.
股权激励主要是通过附条件给予员工部分股东权益,使其具有主人翁意识,从而与企业形成利益共同体,促进企业与员工共同成长,从而帮助企业实现稳定发展的长期目标。
Equity incentives mainly provide employees with partial shareholder rights by attaching conditions, giving them a sense of ownership, thereby forming a community of shared interests with the enterprise, promoting mutual growth between the enterprise and employees, and helping the enterprise achieve long-term goals of stable development.

《上市公司股权激励管理办法》第八条激励对象可以包括上市公司的董事、高级管理人员、核心技术人员或者核心业务人员,以及公司认为应当激励的对公司经营业绩和未来发展有直接影响的其他员工,但不应当包括独立董事和监事。
Article 8 of the Measures for the Administration of Equity Incentives of Listed Companies stipulates that the incentive objects may include directors, senior management personnel, core technical personnel or core business personnel of the listed company, as well as other employees who the company believes should be incentivized and have a direct impact on the company's operating performance and future development, but should not include independent directors and supervisors.
外籍员工任职上市公司董事、高级管理人员、核心技术人员或者核心业务人员的,可以成为激励对象。
Foreign employees who serve as directors, senior management personnel, core technical personnel, or core business personnel of listed companies can become incentive targets.
单独或合计持有上市公司5以上股份的股东或实际控制人及其配偶、父母、子女,不得成为激励对象。
Shareholders or actual controllers who individually or collectively hold more than 5 shares of a listed company, as well as their spouses, parents, and children, shall not be eligible for incentives.
下列人员也不得成为激励对象:
The following individuals are also not eligible to be incentivized:
(一)最近12个月内被证券交易所认定为不适当人选;
(1) Being identified as an inappropriate candidate by the stock exchange within the past 12 months;
(二)最近12个月内被中国证监会及其派出机构认定为不适当人选;
(2) Being identified as an inappropriate candidate by the China Securities Regulatory Commission and its dispatched agencies within the past 12 months;
(三)最近12个月内因重大违法违规行为被中国证监会及其派出机构行政处罚或者采取市场禁入措施;
(3) Within the past 12 months, due to significant violations of laws and regulations, the China Securities Regulatory Commission and its dispatched agencies have imposed administrative penalties or taken market entry bans;
(四)具有《公司法》规定的不得担任公司董事、高级管理人员情形的;
(4) Those who are not allowed to serve as directors or senior management personnel of the company according to the provisions of the Company Law;
(五)法律法规规定不得参与上市公司股权激励的;
(5) Those who are prohibited by laws and regulations from participating in equity incentives of listed companies;
(六)中国证监会认定的其他情形。
(6) Other circumstances recognized by the China Securities Regulatory Commission.
第九条上市公司依照本办法制定股权激励计划的,应当在股权激励计划中载明下列事项:
Article 9: If a listed company formulates a stock incentive plan in accordance with these Measures, the following matters shall be included in the stock incentive plan:
(一)股权激励的目的;
(1) The purpose of equity incentives;
(二)激励对象的确定依据和范围;
(2) The basis and scope for determining incentive targets;
(三)拟授出的权益数量,拟授出权益涉及的标的股票种类、来源、数量及占上市公司股本总额的百分比;
(3) The number of equity to be granted, the type, source, quantity, and percentage of the underlying stocks involved in the equity to be granted to the total share capital of the listed company;
分次授出的,每次拟授出的权益数量、涉及的标的股票数量及占股权激励计划涉及的标的股票总额的百分比、占上市公司股本总额的百分比;
For phased grants, the number of equity to be granted each time, the number of underlying stocks involved, the percentage of the total amount of underlying stocks involved in the equity incentive plan, and the percentage of the total share capital of the listed company;
设置预留权益的,拟预留权益的数量、涉及标的股票数量及占股权激励计划的标的股票总额的百分比;
For those who set up reserved equity, the quantity of reserved equity, the number of underlying stocks involved, and the percentage of the total amount of underlying stocks in the equity incentive plan;
(四)激励对象为董事、高级管理人员的,其各自可获授的权益数量、占股权激励计划拟授出权益总量的百分比;
(4) If the incentive targets are directors and senior management personnel, the number of equity they can each receive and the percentage of the total equity to be granted in the equity incentive plan;
其他激励对象(各自或者按适当分类)的姓名、职务、可获授的权益数量及占股权激励计划拟授出权益总量的百分比;
The names, positions, number of rights and benefits that can be granted to other incentive recipients (individually or appropriately classified), and their percentage of the total rights and benefits to be granted under the equity incentive plan;
(五)股权激励计划的有效期,限制性股票的授予日、限售期和解除限售安排,股票期权的授权日、可行权日、行权有效期和行权安排;
(5) The validity period of the equity incentive plan, the grant date, lock up period, and release arrangement of restricted stocks, the grant date, exercise date, exercise validity period, and exercise arrangement of stock options;
(六)限制性股票的授予价格或者授予价格的确定方法,股票期权的行权价格或者行权价格的确定方法;
(6) The grant price or method for determining the grant price of restricted stocks, and the exercise price or method for determining the exercise price of stock options;
